1. Introduction and Acceptance
These Terms of Service (“Terms”) form a binding legal agreement between you and [VendoX Legal Entity Name], a company with its registered address at Plot 8, Road 2, Association Estate, Daluwon, Mowe, Ogun State 110115, Nigeria (“VendoX”, “we”, “us”, or “our”), governing your access to and use of the VendoX website, mobile applications, APIs, and all related services (together, the “Platform”).
By creating an account, browsing listings, placing an order, listing a product or service, or otherwise using any part of the Platform, you agree to be bound by these Terms, whether or not you have created an account. If you do not agree to these Terms, you must stop using the Platform immediately.
If you use the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case “you” and “your” refer to that entity.
These Terms incorporate by reference the Privacy Policy, Cookie Policy, Seller Agreement, Service Provider Agreement, Returns & Refunds Policy, Prohibited & Restricted Items Policy, Shipping & Delivery Policy, Payment & Escrow Policy, Seller Payout Policy, Preorder Policy, Intellectual Property Policy, Affiliate/Referral Program Terms, and Support Policy (together, the “Policies”), each of which forms part of your agreement with VendoX to the extent applicable to your use of the Platform.
2. Definitions
- “Buyer” means a User who purchases, or seeks to purchase, goods or services through the Platform.
- “Seller” means a User who lists physical or digital goods for sale through the Platform.
- “Service Provider” means a User who offers bookable professional or personal services through the Platform.
- “Listing” means any product, service, or offer published on the Platform by a Seller or Service Provider.
- “Order” means a Buyer's request to purchase a Listing, once accepted by the relevant Seller or Service Provider.
- “Content” means text, images, video, audio, reviews, listings, and any other material submitted to or displayed on the Platform.
- “User” means any person or entity that accesses or uses the Platform, including Buyers, Sellers, Service Providers, and visitors.
- “Operating Countries” means the countries in which VendoX makes the Platform available for transactions from time to time, as listed on the Platform.
3. Who We Are and What VendoX Does
VendoX is a multi-vendor marketplace connecting independent sellers, brands, retailers, wholesalers, manufacturers, and service providers with Buyers across our Operating Countries in Africa and beyond. Our mission is to build Africa's next-generation commerce infrastructure by making it easy for people to discover, compare, and purchase quality products and services with confidence, backed by secure technology, verified sellers, transparent reviews, and buyer protection.
VendoX is not the seller, manufacturer, or service provider of the products and services listed on the Platform unless a listing expressly identifies VendoX as the seller of record. VendoX provides the technology, payment infrastructure, trust and safety systems, and marketplace rules that let independent Sellers and Service Providers transact with Buyers. Contracts for the sale of goods or the provision of services are formed directly between the Buyer and the Seller or Service Provider, subject to these Terms and the applicable Policies.
VendoX acts as a limited payment collection agent for Sellers and Service Providers solely for the purpose of facilitating payment through the escrow mechanism described in the Payment & Escrow Policy. This limited agency does not make VendoX a party to the underlying sale or service contract.
4. Eligibility and Accounts
4.1 Eligibility
To use the Platform you must be at least 18 years old (or the age of legal majority in your country of residence, if higher), capable of forming a binding contract, and not barred from using the Platform under the laws of your country or any sanctions regime applicable to VendoX.
4.2 Account Registration
You must provide accurate, current, and complete information when creating an account and must promptly update it if it changes. You may register using an email address and password, a mobile number with one-time-passcode verification, or a supported third-party sign-in service. You are responsible for all activity that occurs under your account, whether or not you authorized it, except to the extent caused by VendoX's own negligence.
4.3 Account Security
Keep your login credentials confidential and do not share your account with others. Notify us immediately at support@vendox.africa if you suspect unauthorized use of your account, a data breach affecting your account, or loss of your device. VendoX is not liable for losses arising from unauthorized use of your account that occurs before you notify us and that VendoX could not reasonably have detected.
4.4 One Account Per Role
Each individual or business may hold only one Buyer account and, separately, one Seller or Service Provider account, unless VendoX approves multiple accounts in writing (for example, for a business operating distinct storefronts under different registered entities).
4.5 Account Verification
VendoX may require identity or business verification (know-your-customer checks) at registration or at any later time, particularly for Sellers, Service Providers, and Users engaging in higher-value or higher-risk transactions, as further described in the Seller Agreement, Service Provider Agreement, and Payment & Escrow Policy.
5. Marketplace Roles
5.1 Buyers
Buyers may browse listings, place orders, make payments through VendoX's supported payment methods, communicate with Sellers and Service Providers through the Platform's messaging tools, leave reviews for completed transactions, and raise disputes through the process described in the Support Policy.
5.2 Sellers
Sellers who wish to list physical or digital products must separately accept the VendoX Seller Agreement, which governs listing standards, commissions, payouts, and Seller obligations, and is incorporated into these Terms by reference for any User acting as a Seller.
5.3 Service Providers
Users offering bookable services (for example, home services, beauty and wellness, business services, events, logistics, or education) must separately accept the VendoX Service Provider Agreement, which governs licensing representations, booking and cancellation rules, on-site conduct, and liability specific to services, and is incorporated into these Terms by reference for any User acting as a Service Provider.
5.4 Affiliates
Users who promote VendoX listings in exchange for referral commissions are subject to the Affiliate/Referral Program Terms, in addition to these Terms.
6. Orders, Pricing, and Availability
- All prices are set by the relevant Seller or Service Provider and displayed in the applicable local currency, inclusive or exclusive of tax as indicated at checkout.
- Placing an order is an offer to purchase, which the Seller or Service Provider may accept or decline within the timeframe stated in the Seller Agreement or Service Provider Agreement. A binding contract of sale is formed only once the order is accepted or automatically confirmed.
- VendoX does not guarantee the availability, quality, safety, legality, or fitness for purpose of any item or service listed by a Seller or Service Provider, except for products sold directly by VendoX and expressly labeled as such.
- Prices, promotions, and availability may change at any time prior to order confirmation and are not guaranteed once displayed unless an order has been confirmed.
- Where a Listing supports advance ordering of stock not yet available, the Preorder Policy governs the additional terms applicable to that order.
7. Payments and Fees
Payments are processed through VendoX's supported payment partners and are subject to the Payment & Escrow Policy, which governs how funds are collected, held in escrow, and released to Sellers and Service Providers. Seller and Service Provider payouts are further governed by the Seller Payout Policy.
VendoX may charge Buyers service, delivery, or convenience fees at checkout, always disclosed before payment is confirmed. Commission and platform fees charged to Sellers and Service Providers are governed by the Seller Agreement, Service Provider Agreement, and Seller Payout Policy.
8. Shipping, Delivery, and Fulfilment
Delivery timeframes, shipping costs, and carrier arrangements are governed by the Shipping & Delivery Policy. VendoX may facilitate delivery through integrated logistics partners or permit Sellers to arrange their own fulfilment, as indicated on the relevant Listing.
9. Cancellations, Returns, and Refunds
Order cancellations, returns, and refunds are governed by the Returns & Refunds Policy, which forms part of these Terms and applies to physical goods, digital products, and bookable services with category-specific variations as set out there.
10. Reviews, Ratings, and User Content
Reviews must reflect a genuine transaction and honest opinion of the reviewer's own experience. You grant VendoX a worldwide, royalty-free, non-exclusive license to host, reproduce, adapt, publish, and display any Content you submit to the Platform (including reviews, listing content, and messages, to the extent necessary to operate the Platform, provide customer support, and resolve disputes), for as long as reasonably necessary for those purposes.
VendoX may remove or restrict visibility of Content that: (a) violates these Terms or any Policy; (b) is unlawful, defamatory, or infringing; (c) is manipulated, incentivized without disclosure, or otherwise inauthentic; or (d) VendoX reasonably believes poses a legal, safety, or reputational risk. VendoX is not obligated to monitor Content but may do so, including using automated tools.
11. Prohibited Conduct
You agree not to:
- List, sell, purchase, or facilitate the sale of any item or service restricted by the Prohibited & Restricted Items Policy;
- Use the Platform for any fraudulent, deceptive, or illegal purpose, including money laundering or terrorist financing;
- Circumvent VendoX's payment system to avoid fees, for example by arranging off-platform payment for a Platform-sourced transaction;
- Post false, misleading, or manipulated reviews, ratings, or testimonials;
- Attempt to gain unauthorized access to any account, system, network, or data on or connected to the Platform;
- Scrape, crawl, reverse-engineer, decompile, or use automated tools to extract data from the Platform without VendoX's prior written permission;
- Introduce viruses, malware, or other harmful code to the Platform;
- Harass, threaten, stalk, or discriminate against other Users on the basis of a protected characteristic;
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- Infringe the intellectual property or other legal rights of VendoX, Sellers, Service Providers, Buyers, or third parties;
- Interfere with or disrupt the integrity or performance of the Platform, including through denial-of-service attacks.
Violations may result in warnings, Content or listing removal, order cancellation, fund holds, suspension, or termination, at VendoX's discretion, without prejudice to any other remedy available to VendoX, including referral to law enforcement where appropriate.
12. Intellectual Property
The Platform, including its design, software, source code, trademarks, logos, and the VendoX name, is owned by VendoX or its licensors and protected by intellectual property laws. Sellers and Service Providers retain ownership of their own listing content but grant VendoX a license to display, reproduce, adapt for platform formatting, and distribute that content on and in connection with the Platform (including in marketing and search-engine results) for as long as the listing is active and for a reasonable wind-down period thereafter. Full detail on intellectual property ownership, licensing, and takedown procedures is set out in the Intellectual Property Policy.
13. Third-Party Links, Services, and Content
The Platform may contain links to, or integrations with, third-party websites, payment providers, logistics providers, and services that VendoX does not control. VendoX is not responsible for the content, accuracy, or practices of third-party services, and your use of them is subject to their own terms and privacy policies.
14. Beta Features and Platform Changes
VendoX may offer features labeled as beta, early access, or experimental, which are provided as-is, may be changed or discontinued at any time without notice, and may be less reliable than generally available features. VendoX may modify, suspend, or discontinue any part of the Platform at any time, provided that material changes affecting active orders will not adversely affect orders already confirmed.
15. Feedback
If you submit ideas, suggestions, or feedback about the Platform, you grant VendoX an unrestricted, perpetual, royalty-free license to use that feedback for any purpose without any obligation to you.
16. Disclaimers
The Platform is provided “as is” and “as available”, without warranties of any kind, express or implied, except as required by applicable law. VendoX does not warrant that the Platform will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that any Seller's or Service Provider's products or services will meet your expectations, be accurately described, or be delivered on time. VendoX disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the maximum extent permitted by law.
17. Limitation of Liability
To the maximum extent permitted by applicable law, VendoX's aggregate liability arising out of or relating to your use of the Platform, whether in contract, tort, or otherwise, is limited to the greater of (a) the fees you paid to VendoX in the 12 months preceding the event giving rise to the claim, or (b) [amount to be set with counsel]. VendoX is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, or goodwill, even if advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be limited under applicable consumer protection law in your country, including liability for death or personal injury caused by negligence, or for fraud.
18. Indemnity
You agree to indemnify, defend, and hold harmless VendoX, its officers, directors, employees, and agents from and against any claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms or any Policy; (b) your violation of applicable law; (c) your infringement of any third-party right; or (d) any Listing, Content, product, or service you provide through the Platform.
19. Force Majeure
Neither party is liable for any failure or delay in performance to the extent caused by circumstances beyond its reasonable control, including natural disasters, pandemics, war, civil unrest, government action, power or internet outages, or failures of third-party payment or logistics providers, provided the affected party uses reasonable efforts to mitigate the impact and resume performance.
20. Suspension and Termination
You may close your account at any time, subject to settling any outstanding orders, disputes, or payment obligations. VendoX may suspend or terminate your account for breach of these Terms or any Policy, suspected fraud, legal or regulatory requirements, risk to other Users, or extended inactivity, with notice where reasonably practicable and immediate effect where necessary to prevent harm. Sections 12, 16–19, and 23–24 survive termination, together with any provision that by its nature should survive.
21. Notices
VendoX may provide notices to you via the Platform, the email address on your account, or SMS. You may provide notices to VendoX at support@vendox.africa or in writing to Plot 8, Road 2, Association Estate, Daluwon, Mowe, Ogun State 110115, Nigeria. Notices are deemed received 24 hours after email dispatch or, for postal notices, 5 business days after posting.
22. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. Material changes will be notified through the Platform or by email at least 14 days before taking effect, except where a shorter period is required for legal, security, or regulatory reasons. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
23. Governing Law and Disputes
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles, save that mandatory consumer protection laws of your country of residence may also apply and are not overridden by this clause. Disputes will first be addressed through VendoX's internal dispute resolution process described in the Support Policy before either party pursues formal proceedings, except for claims for injunctive relief or claims relating to intellectual property. Subject to the foregoing, the courts of Nigeria have exclusive jurisdiction over disputes arising from these Terms, without prejudice to any mandatory right you may have to bring proceedings in your country of residence under local consumer protection law.
24. Export Control and Sanctions
You may not use the Platform if you are located in, or are a national or resident of, a country or region subject to comprehensive trade sanctions, or if you are listed on any applicable restricted party or denied persons list. You agree to comply with all applicable export control and sanctions laws in connection with your use of the Platform.
25. General
- Entire agreement: These Terms, together with the Policies referenced in Section 1, constitute the entire agreement between you and VendoX regarding the Platform, superseding any prior agreements on the same subject matter.
- Severability: If any provision is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full effect.
- No waiver: VendoX's failure to enforce a provision is not a waiver of its right to do so later.
- Assignment: You may not assign or transfer these Terms without VendoX's prior written consent. VendoX may assign these Terms, in whole or in part, in connection with a merger, acquisition, financing, or sale of assets.
- No third-party beneficiaries: These Terms do not confer any rights on any person or entity other than you and VendoX, except as expressly stated.
- Language: These Terms are drafted in English. Any translation is provided for convenience only, and the English version controls in case of conflict.
